End User License Agreement

1. Definition of Licensed Product

This EULA applies to the following ("Licensed Product"):

• The AiCreator5 web platform and dashboard
• AI generation models and algorithms (including third-party integrations)
• API access and developer tools
• Generated content outputs (Images, Audio, Video, Text, Music)
• Mobile applications (if any)
• Documentation and associated media

2. Grant of License

Subject to your compliance with this EULA and payment of applicable fees, AiCreator5 grants you a non-exclusive, non-transferable, revocable license to:

• Access and use the platform for lawful purposes
• Generate AI content using your account
• Use Generated Outputs for personal, commercial, or business purposes (subject to restrictions)
• Integrate API access into your own applications (with appropriate API license)

You agree NOT to:

• ❌ Reverse engineer, decompile, or disassemble any part of the platform
• ❌ Copy, modify, or create derivative works of our software or AI models
• ❌ Use the platform to train competing AI models
• ❌ Rent, lease, lend, sell, sublicense, or distribute the platform to third parties
• ❌ Remove any copyright, trademark, or proprietary notices
• ❌ Use automated scripts or bots to scrape, crawl, or extract data
• ❌ Exceed rate limits or API quotas
• ❌ Share your API keys or account credentials
• ❌ Use the platform for any illegal, harmful, or prohibited activities

5. Commercial Use Rights

Subject to compliance with this EULA and prohibited content restrictions, you may use Generated Outputs for:

6. Prohibited Commercial Uses

You may NOT use Generated Outputs for:

• ❌ Creating NFTs or cryptocurrency tokens without additional licensing
• ❌ Training competing AI models
• ❌ Generating medical, legal, or financial advice systems
• ❌ Surveillance, biometric identification, or facial recognition
• ❌ Automated decision-making that affects legal rights
• ❌ Content that violates platform prohibited use policies
• ❌ Reselling the platform as a service (requires API license)

7. Third-Party AI Model Licenses

Generated Outputs may be subject to additional terms from third-party AI providers. You agree to comply with:

AiCreator5 is not responsible for changes in third-party licensing terms that may affect your usage of Generated Outputs.

8. Warranties & Representations

You represent and warrant that:

• You are at least 20 years of age
• You have the legal capacity to enter into this agreement
• Your Inputs do not infringe any third-party rights
• You will not use the platform for illegal purposes
• All information you provide is accurate and complete

9. Indemnification

You agree to indemnify, defend, and hold harmless AiCreator5, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of Generated Outputs
• Your violation of this EULA
• Your violation of any third-party rights (including copyright, trademark, publicity)
• Your violation of applicable laws

10. Term & Termination

10.1 Term

This EULA remains in effect while you maintain an active account and subscription. Upon cancellation or expiration, certain provisions survive (ownership of previously generated outputs, etc.).

10.2 Termination by AiCreator5

We may terminate this EULA immediately if:

• You violate any term of this agreement
• You provide false age declaration
• You engage in prohibited uses
• You fail to pay fees when due
• Required by law or legal process

10.3 Effect of Termination

Upon termination:

• Your license rights terminate immediately
• You must cease using the platform
• You retain ownership of Outputs generated prior to termination
• No refunds for unused credits or prepaid fees

11. API License (For Developers)

If you use our API, additional terms apply:

• API keys are confidential and may not be shared
• Rate limits and usage quotas apply
• We may monitor API usage for compliance
• We reserve the right to revoke API access for violations
• Commercial API usage requires a separate agreement

12. Assignment

You may not assign or transfer this EULA or any rights hereunder without our prior written consent. AiCreator5 may assign this agreement in connection with a merger, acquisition, or sale of assets.

13. Governing Law & Dispute Resolution

• Dispute Resolution: Binding arbitration in accordance with our Terms & Conditions
• Class Action Waiver: All disputes must be brought on an individual basis

14. Updates to This EULA

We may update this EULA from time to time. Material changes will be notified to registered users via email or dashboard notification. Continued use after changes constitutes acceptance.
